Services Provided by FinCEN Filer, LLC

FinCEN Filer, LLC’s purpose is to prevent its customers from being fined $500/day because they did not file an initial or amended FinCEN report required by the Corporate Transparency Act (CTA).  The CTA provides that all “reporting companies” must file a report with the Financial Crimes Enforcement Network (FinCEN) of the U.S. Treasury that discloses certain information about its beneficial owners and its applicant or the company may be subject to a $500/day fine.  If any information in a filed FinCEN report changes, the reporting company must file an amended FinCEN report within thirty days of the change to avoid the $500/day fine.

A “beneficial owner” is an individual who, directly or indirectly, through any contract, arrangement, understanding, relationship, or otherwise (i) exercises substantial control over the entity, or (ii) owns or controls not less than 25 percent of the ownership interests of the entity.  An “applicant” is the person who filed the reporting company’s formation document with the state agency of the state in which the entity was formed.

  • Automatic email reminder system that sends an email to each beneficial owner and to the reporting company’s management reminding them of the information contained in the reporting company’s last FinCEN report and notifying them that if any information has changed the reporting company must file an amended FinCEN report within thirty days of the change to avoid the $500 a day late filing penalty.
